TERMS AND CONDITIONS:
1. Services Provided
- Scope of Services: Auditum provides consulting services, including the sale of NDIS policies and procedures, audit support, and audit training for NDIS providers.
- Deliverables: Specific deliverables and timelines will be outlined in the project agreement or engagement letter.
2. Fees and Payment
- Invoices: Invoices will be issued upon completion of each service milestone or as otherwise agreed upon.
- Payment Terms: Payment is due within 2 days from the date of the invoice, unless another payment timeframe is indicated on either the invoice or the order.
- Late Payments: A late payment fee of 5% per month will be applied to overdue invoices. If a payment is still outstanding more than (14) calendar days after the due payment date, Auditum reserves the right to call on the services of a debt recovery company. All legal expenses will be payable by the client.
3. Cancellation and Refunds
- Cancellation Policy: Clients may cancel services with 3 days' written notice. Fees for services rendered up to the cancellation date are non-refundable.
- Refunds: Refunds will only be issued for services not rendered due to cancellation by Auditum.
4. Client Obligations
- Provision of Information: The client must provide all necessary information and access to resources required for Auditum to perform the services.
- Timely Cooperation: Delays caused by the client’s failure to cooperate may result in adjustments to the project timeline and additional fees.
5. Confidentiality
- Confidential Information: Both parties agree to keep confidential all information disclosed during the course of the engagement, except where required by law.
- Non-Disclosure: Neither party will disclose any confidential information to third parties without prior written consent.
6. Liability
- Limitation of Liability: Auditum’s liability for any claim arising out of this agreement will not exceed the amount paid by the client for the services in question. Auditum undertakes to do its best to supply performant services in due time in accordance with the agreed timeframes. However, none of its obligations can be considered as being an obligation to achieve results. Auditum cannot under any circumstances, be required by the client to appear as a third party in the context of any claim for damages filed against the client by an end consumer.
- Indemnity: The client agrees to indemnify and hold harmless Auditum against any claims, damages, or expenses arising out of the client’s use of the services.
7. Governing Law
- These terms and conditions are governed by the laws of Victoria, Australia. Any disputes will be resolved in the courts of Victoria.
8. Amendments
- Changes to Terms: Auditum reserves the right to amend these terms and conditions at any time. Clients will be notified of any changes in writing.
9. Acceptance of Terms
- By engaging Auditum’s services and making a payment, the client acknowledges and agrees to these terms and conditions.
All our contractual relations will be governed exclusively by Australia law.
